NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE CHANCES OF WINNING. INTERNET ACCESS REQUIRED. THIS SWEEPSTAKES IS INTENDED FOR THE UNITED STATES. DO NOT ENTER IF YOU ARE NOT ELIGIBLE OR YOU ARE NOT LOCATED IN THE UNITED STATES AT THE TIME OF ENTRY. VOID WHERE PROHIBITED. SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS.

  1. ELIGIBILITY: Open to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age and at least the age of majority in their state of residence (at least nineteen (19) in Alabama and Nebraska) at the time of entry. The following individuals are not eligible to enter or win a prize: employees, contractors, directors, and officers of the LRMR Management Company, the LeBron James Family Foundation, Pepsi-Cola Company ( the “Sponsor”), and its bottlers and each of their respective parents, subsidiaries and affiliated companies, and the prize suppliers, web design, advertising, fulfillment, legal, judging, administrative, and agencies involved in the administration, development, fulfillment, and execution of this Contest (collectively, “Contest Parties”), and the immediate family members (spouse, parent, child, sibling, grandparent, and spouse or "step" of each) and those living in the same household of each such person (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Contest).

  2. CONTEST PERIOD: The Contest period begins on Thursday, February 16, 2023, at 9:00:00 a.m. Eastern Time (“ET”) and ends on Saturday, March 25, 2023, at 11:59:59 p.m. ET (the “Contest Period”). The website server is the official clock for this Contest.

  3. HOW TO ENTER THE CONTEST: During the Contest Period, eligible entrants should go to the promotion website at moretolifewtr.com/lifegrants (the “Website”) to complete and submit an application form. On the application, the entrant will need to supply their first and last name, email address, mailing address (No P.O. Boxes) and date of birth and then, in 300 words or less, tell the Sponsor what the “more” in your life is (a passion, a purpose, or a talent) and how this $25,000 in prize funds can help you pursue it (the “Essay”). Entrants will also have the option to take a photo or video (a “Photo/Video”) and upload it with their application form. For an entry to be considered, the entrant must submit their application, complete with all required information, the Essay, and optional Photo/Video (all of which constitutes an “Entry”), and read and agree to the Official Rules, within the Contest Period. A Photo/Video upload will not improve your chances of winning. Any incomplete Entries will be considered ineligible. The person submitting the Entry will be deemed the entrant (the “Entrant”). Limit one (1) Entry per eligible Entrant throughout the Contest Period.

    Standard data rates may apply if the Website is accessed via a mobile device, and Entrants are solely responsible for any such charges. Automated means of participation are prohibited, and any use of automated devices will cause disqualification. Entrants may not enter with multiple email accounts, nor may Entrants use any other device or artifice to enter multiple times above the stated limit or as multiple Entrants. Any Entrant who attempts to enter using any device or artifice to enter above the stated limit may be disqualified and forfeits any prize won, in Sponsor’s sole discretion. Proof of submission is not proof of receipt by Sponsor. In the event of a dispute as to who submitted the Entry, the natural person associated with the email account used for Entry will be considered the Entrant, but only if that person is otherwise eligible to enter the Contest and the copyright owner of the Entry. By participating, Entrants agree to abide by and be bound by these Official Rules and the Sponsor’s decisions.

    Entries must be in English. Each Essay must be 300 words or less. Photos must be 4MB or less and in one of the following formats: .jpg or .png. Videos must contain only the Entrant and be no longer than two (2) minutes. Each Entry must be suitable for display and publication in all forms of media, including but not limited to the internet, the World Wide Web, print, radio, and network, cable, or satellite television broadcast. Any Entries that fail to comply with the following requirements may be disqualified in Sponsor’s sole discretion. Entries may NOT contain, as determined by Sponsor, any content that:

    • Is sexually explicit; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;
    • Promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
    • Is obscene or offensive; endorses any form of hate or hate group;
    • Appears to duplicate any other submitted contest Entries, including using the same Essay or Photo/ Video;
    • Defames, misrepresents, or contains disparaging remarks about other people or companies;
    • Contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission;
    • Contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
    • Entry cannot contain any content or information that is not owned or licensed by Entrant (for example, do not use a song, photos, brand logos (other than the Sponsors), music, or sound clips without the appropriate party’s permissions);
    • Contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies, or other media), without permission;
    • Contains any individual other than the Entrant and/or any materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission, including providing legal releases for such use in a form satisfactory to Sponsor as requested;
    • Contains look-alikes of celebrities or other public or private figures, living or dead;
    • Communicates messages or images inconsistent with the positive images and/or good will to which Sponsor wishes to associate; and/or
    • Depicts, and cannot itself, be in violation of any law.

    If an Entry is deemed inappropriate, the Entry will not be eligible for the Contest. All Entries will be reviewed for content eligibility and compliance with these Official Rules before being judged. Entries containing false information, prohibited material, or inappropriate content, or that are deemed to be in violation of these Official Rules or to be otherwise infringing, harmful, or generally not in keeping with the image of Sponsor, as determined by the sponsor, in its sole discretion, may be disqualified. Sponsor makes the final determination as to which Entries are eligible for this Contest. Any Entrant whose Entry contains likenesses of third parties must be able to provide legal releases for Sponsor’s use of such Entry, in a form satisfactory to the Sponsor, upon request, prior to awarding of prize and/or naming of Entrant as a winner. Submission of an Entry grants Sponsor and its agents, including prize suppliers, the unconditional, irrevocable, worldwide right to publish, repost, use, adapt, edit, and/or modify (including blurring parts of a Photo/Video) the Entry in any way, including each component of the Entry, together or separately, in whole or in part, in any and all media, without limitation, and without compensation or consideration to the Entrant, whether or not such Entry is selected as a winning Entry. BY SUBMITTING AN ENTRY, EACH ENTRANT REPRESENTS AND WARRANTS THAT HE/SHE HAS ALL RIGHT, TITLE, AND INTEREST NECESSARY TO GRANT THE SPONSOR THE WORLDWIDE, IRREVOCABLE, AND UNRESTRICTED RIGHT AND LICENSE TO ADAPT, PUBLISH, USE, EDIT, AND/OR MODIFY SUCH ENTRY IN ANY WAY AND POST THE ORIGINAL ENTRY ON THE INTERNET OR USE THE ENTRY IN ANY OTHER WAY AND AGREES TO INDEMNIFY AND HOLD SPONSOR HARMLESS FROM ANY CLAIMS TO THE CONTRARY. By entering, you acknowledge that Sponsor has no obligation to use or post any Entry you submit.

    Privacy Policy: Information collected by Sponsor and its agencies in connection with the Contest may be used by Sponsor and its agencies in accordance with the online Privacy Policy at https://www.pepsico.com/legal/privacy.

  4. SELECTION OF THE WINNERS AND JUDGING CRITERIA: Beginning March 26, 2023 through April 16, 2023, all eligible Entries will be judged by a panel of third-party Sponsor representatives (the “Judges”) to determine four (4) potential winners (“Winners”). The Judges will score each Entry based on the following weighted judging criteria:

    • Creativity/Originality of Entry – 38%;
    • Relevance to theme – 34%; and
    • Quality of Entry content – 28%

    Entries will be assigned a score from 1 to 500 (1 being the lowest and 500 being the highest) for each judging criteria, and the Entries with the four (4) highest total scores will be declared the four (4) Winners, pending verification and compliance with these Official Rules. In the event of a tie, all entries will be reviewed by an additional judge, who will serve as a tiebreaker evaluating the Entries, according to the weighted criteria above. Entrants agree that the Judges and Sponsor have the sole right to decide all matters and disputes arising from this Contest and that all decisions are final and binding in all respects.

  5. PRIZES (“PRIZES”) AND ACTUAL RETAIL VALUE (“ARV”):
    Four (4) Grand Prizes: each consisting of $25,000.00, awarded in the form of a check made payable to the winner. Total ARV of each Grand Prize: $25,000.00.

    Winners are advised to consult their tax advisor prior to executing the provided Affidavit of Eligibility and accepting the Prize to ensure they understand any tax implications that may affect them.

    Additionally, the Sponsor has agreed to separately donate $25,000, to the I PROMISE School, an Akron Public School founded by the Lebron James Family Foundation.

  6. PRIZE RESTRICTIONS/REQUIREMENTS: Limit one (1) Prize per person per household. Sponsor will have the right to substitute another Prize of equal or greater value, at its sole discretion. Prizes are not transferable, and Winners will not have the right to substitute another Prize.

    By participating in this Contest and submitting an Entry, each Entrant agrees: (i) to be bound by these Official Rules, including all Entry requirements and to release and hold the Sponsor and Contest Parties harmless from and against any and all claims, injuries, damages, losses and liability that may occur, directly or indirectly, in whole or in part, from the participation in the Contest or from the receipt or use of any Prize or activity related to the receipt or use of any Prize. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control.

    All costs and expenses associated with Prize acceptance and use not specifically provided herein are the responsibility of the Winners. Any Prize will be forfeited, and an alternate potential Winner may be contacted if: (1) a Prize notification is returned as undeliverable; (2) if any required response (including email response) is not received in a timely manner for any reason; (3) if any Prize claim forms or Winner verification materials are not returned within the required time period; (4) if a potential Winner is found to be ineligible by civil or criminal background check, or social media information review, as determined by Sponsor in its sole discretion; or (5) if any potential Winner is determined to be ineligible or otherwise not in compliance with these Official Rules. Sponsor and Contest Parties are not responsible for any change of mailing address, email address, and/or telephone number of Entrants. Sponsor is not required to make more than one attempt to notify any individual potential Winner; nor is Sponsor required to make more than one attempt to verify an alternative Winner if the first selected potential Winner is disqualified. If an insufficient number of qualified Entries are received, Prizes may not be awarded.

  7. WINNER NOTIFICATION AND PRIZE CLAIM: Winners will be subject to verification, including verification of age. THE ORIGINAL SELECTED POTENTIAL WINNERS WILL BE NOTIFIED ON OR ABOUT MONDAY, APRIL 17, 2023, VIA THE EMAIL ADDRESS SUPPLIED AT ENTRY AND WILL BE REQUIRED TO RESPOND VIA RETURN EMAIL WITHIN SEVENTY-TWO (72) HOURS OF NOTIFICATION TO CONFIRM HIS/HER ACCEPTANCE OF THE PRIZE. Upon acceptance, each potential Winner will be sent, via a DocuSign email, an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release, and a Federal Form W-9 and will be required to verify his/her eligibility and compliance with these Official Rules by completing, signing, and returning, by email within three (3) business days of receipt; or the Prize may be forfeited, and an alternate potential Winner may be contacted. Failure to provide all required information, and a signature on the documents will result in forfeiture of the Winner’s right to claim a Prize and may be awarded to an alternate Winner, if time permits.

    Taxes: Winners are solely responsible for any taxes on their Prize and will be issued an IRS Form 1099 reporting the value of the Prize in January of 2024. The Winners will be required to complete a W9 Tax Form and will be required to furnish his/her Social Security number, for winner verification, for the sole purpose of preparation of any tax forms as required by law.

  8. GENERAL CONDITIONS: INTERNET CAUTION: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW INCLUDING CRIMINAL PROSECUTION. If the Contest is not capable of running as planned for any reason, including without limitation, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, Sponsor reserves the right, in its sole discretion, to disqualify any individual who is responsible or who tampers with the Entry process, and to cancel, modify, or terminate the Contest. If, in Sponsor’s sole discretion, any portion of the Contest is not capable of running as planned for any reason, or the integrity and/or feasibility of the Contest is severely undermined by any event beyond the control of Sponsor, including but not limited to fire, flood, health pandemic or epidemic, earthquake, explosion, extreme weather conditions, interruptions in air travel, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, infection by computer virus, unauthorized intervention, technical failures or other cause not reasonably within the control of Sponsor (each a “Force Majeure” event or occurrence), Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel or terminate the Contest without any further obligation. In the event of cancellation, Sponsor will award the Prize in a random drawing from among all valid and eligible entries received up to the time of such cancellation, providing a sufficient number of entries are received. In no event will more than the number of Prizes stated in these Official Rules be awarded. In the event that an Entry is confirmed to have been erroneously deleted, lost, or destroyed, Entrant’s sole remedy shall be another Entry into the Contest. Sponsor may modify and amend these Official Rules as they may appear online from time to time during the promotion for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.

  9. LIMITATIONS OF LIABILITY AND RELEASE: As a condition of entering, Entrants agree to release Sponsor and Contest Parties, (collectively, “Releasees”) from any and all liability, loss, or damage incurred with respect to Entrant’s participation in the Contest and the awarding, receipt, possession, and/or use or misuse of any Prize. No liability or responsibility is assumed by the Releasees resulting from user's participation in, attempt to participate in, or download of any information in connection with participating in the Contest. Sponsor is not responsible for incorrect or inaccurate Entry information whether caused by Entrant or by any of the equipment or programming associated with or utilized in the Contest, or by any technical or human error which may occur in the processing of the entries. No responsibility or liability is assumed by the Releasees for technical problems or technical malfunction, including, without limitation, those arising in connection with any of the following occurrences that may affect the operation of the Contest: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless, or Internet connectivity, or other online communication problems; errors or limitations of any Internet service providers, servers, hosts, or providers; garbled, jumbled, or faulty data transmissions; failure of any email transmissions to be sent to or received; lost, late, delayed, or intercepted email transmissions; inaccessibility of any Website or Application in whole or in part for any reason; traffic congestion on the Internet or any Website or Application; unauthorized human or non-human intervention in the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bug, worm; or destruction of any aspect of the Contest. Sponsor is not responsible for any typographical errors in the announcement of the Prize or these Official Rules, or any inaccurate or incorrect data contained on promotional materials or on the Website or App. Use of any Website or Application is at user’s own risk. Releasees are not responsible for any personal injury or property damage or any other losses of any kind that may be sustained to user's or any other person's computer equipment resulting from participation in the Contest, use of any Website or Application or the download of any information from a website or any other loss related to user’s participation in the Contest or receipt of any Prize.

  10. BINDING ARBITRATION: Any controversy or claim arising out of or relating to the Contest shall be settled by binding arbitration in a location determined by the arbitrator as set forth herein (provided that such location is reasonably convenient for claimant), or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules for commercial disputes set forth in the Comprehensive Arbitration Rules and Procedures of JAMS (“JAMS Rules and Procedures”) then prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator shall be selected pursuant to the JAMS Rules and Procedures. The arbitrator shall apply New York law consistent with the Federal Arbitration Act and applicable statutes of limitations and shall honor claims of privilege recognized at law. In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable, or illegal (other than that claim will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS. If, however, the portion that is deemed invalid, unenforceable, or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty days after the demand for arbitration is made, unless further extended by mutual agreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS CONTEST IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.

    BY PARTICIPATING IN THIS CONTEST, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT'S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY ENTRANT.

  11. PUBLICITY: Submission of an Entry, including any Prize notification documents (“Entrant Data”), constitutes your consent for Sponsor to obtain, use, and transfer your Entrant Data for Contest administration purposes.

    Each Entrant also hereby expressly grants to the Contest Parties, their Prize suppliers, and their respective designees all rights to use and publish his/her name, likeness (photographic or simulated), voice, and city/state of residence and the contents of the Entry for all purposes, including without limitation, advertising, marketing, promotional and publicity purposes in connection with this Contest (“Advertising”), in any and all media now or hereafter devised, worldwide in perpetuity, without any form of notice or any amount or kind of compensation or permission, except where prohibited by applicable law. If you are selected as a Winner, your information may also be included in a publicly available Winners’ list and listed on social media sites as set forth above. All copyright, trademark or other intellectual property rights in such Advertising shall be owned by Sponsor and/or its licensors, and each Entrant hereby disclaims and waives any claim of right to such Advertising. Such Advertising shall be solely under the control of Sponsor and/or its licensors, and each Entrant hereby waives any claim of control over the Advertising content as well as any possible claims of misuse of such Entrant’s name, likeness or voice under contract, tort, or any other theory of law. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Contest materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control.

  12. GOVERNING LAW & JURISDICTION: All issues and questions concerning the construction, validity, interpretation, and enforceability of these official rules, Entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules thereof By entering, Entrants consent to the jurisdiction and venue of the federal, state, and local courts located in Westchester County, NY for the resolution of all matters or proceedings which are not subject to arbitration as set forth in Section 10 of these Official Rules and agree that any and all such disputes shall be resolved exclusively in those courts. Sponsor’ failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
